PLEASE TAKE NOTICE that, in accordance with applicable provisions of the Uniform Commercial Code as enacted in the State of New York, by virtue of certain Event(s) of Default under that certain Amended Loan Agreement, dated April 10, 2025, amending Amended Loan Agreement dated November 7, 2024, which amended Loan Agreement dated June 17, 2024 ("Loan Agreement"), between 2 FOREST PARK LANE LLC, a New York limited liability company, as Borrower ("Debtor"), and TS LENDER LLC, a Delaware limited liability company, as Agent and Lender ("Secured Party"), Secured Party will offer for sale at public auction all of the Secured Party's right, title and interest in and to (a) 90,672 Class B Units issued by Debtor ("Pledged Equity Interests"), and (b) certain related rights and property relating to the Interests (collectively, (a) and (b) are the "Collateral") owned by Debtor.
