ONLY Intellectual Property and Other Informational Assets
The bankruptcy estate's right, title and interest in the following intellectual property and informational assets, subject to the exclusions listed below:
1. Inventions and patentable subject matter, but excluding any interest in patents and patent applications registered in the name of Vectrix International Limited.
2. Copyrights, copyrightable subject matter and rights to copyrightable subject matter, such as engineering designs and information, component designs, tooling designs, control software developed or owned by Vectrix, LLC, visual art, and marketing materials.
3. Trade secrets and rights under non-disclosure agreements or confidentiality agreements, if any.
4. Trademark rights held or developed by Vectrix, LLC, excluding trademark registrations.
5. Claims for intellectual property infringement.
6. Rights to the "Vectrix Official Site" Facebook page, and Vectrix Twitter account.
7. Rights, if any, to an online parts catalogue and service manual website run through Par-Tech, Inc.
8. Paper and electronic engineering and design materials, collected by the Vectrix, LLC Trustee from the company's plant in New Bedford or turned over to the Trustee by information technology personnel in San Diego, California.
9. Access to all vendor records, collected by the Vectrix, LLC Trustee from the company's plant in New Bedford.
10. The following computers and servers have had all documents and any Vectrix information preserved and copied:
a. Dell Latitude E6410 Laptop used by Head Software Engineer
b. Dell Precision 490 Desktop used by Principle Electrical Engineer
c. Dell Precision T3500 Desktop used by Principle Electrical Engineer.
d. Dell Precision T3600 Desktop used by Principle Mechanical Engineer
e. Dell Precision T3600 Desktop used by Plant Supervisor, (CAD Design & Document Control) .
f. Dell PowerEdge 2950 Server (Service Tag # J2WRV2J)
g. Dell PowerVault MD3000 (Service Tag # G0SPV2J)
Exclusions
Please note that we have no knowledge of any patents, patent applications, trademarks, trademark applications, or copyright registrations filed with governmental agencies in the name of Vectrix, LLC. All patent and trademark registrations were made in the name of Vectrix International Limited, and the Trustee has no ability to provide assignments of those registrations.
Unregistered intellectual property rights and informational assets in categories one through five that existed prior to January 1, 2010, may be property of Vectrix International Limited and are explicitly excluded from the assets being sold.
Accounts receivable and claims against third parties (except claims for intellectual property infringement) and claims and rights to recovery asserted in Adversary Proceeding no. 14-1104, pending in the United States Bankruptcy Court for the District of Massachusetts, and recoveries therefrom, are explicitly excluded from the assets being sold.
Employment records, payroll records, retirement and benefit records, and other business records containing personally identifiable information of employees or consumer purchasers of Vectrix cycles are explicitly excluded from the assets being sold and will be removed from records being turned over to the buyer. The buyer must agree to destroy any such records that it might accidentally receive.
Rights with respect to Orcut and Infor software are explicitly excluded from this Lot.
The Trustee retains the right to retain a copy of any materials for purposes of bankruptcy case administration and prosecuting pending and potential litigation against third parties.
